Terms and Conditions

for Non-Disclosure of Class Materials and Intellectual Property​

1. Confidentiality Obligation:
All class materials, including but not limited to lecture notes, study guides, assignments, examinations, solutions, and proprietary tricks or strategies (hereinafter referred to as “Confidential Information”), are the exclusive intellectual property of the institution and its faculty. Students are prohibited from disclosing, distributing, or otherwise making available any Confidential Information to any third party without explicit written permission from the institution.
2. Non-Disclosure Agreement:
By enrolling in this course, students agree to a binding non-disclosure agreement (NDA). This NDA remains in effect indefinitely, regardless of the student’s completion of, or withdrawal from, the course.
3. Unauthorized Use and Distribution:
Students must not, under any circumstances, use, reproduce, distribute, or display the Confidential Information for any purpose other than their personal educational use. Any unauthorized use, reproduction, distribution, or display of the Confidential Information is strictly prohibited and constitutes a breach of these terms.
4. Legal Consequences:
Violation of these terms will result in severe academic and legal consequences. These may include but are not limited to:
a. Immediate expulsion from the course and the institution.
b. Civil liability for damages resulting from the unauthorized disclosure or use of Confidential Information.
c. Criminal prosecution under applicable intellectual property laws.
5. Monitoring and Enforcement:
The institution reserves the right to monitor student activity to ensure compliance with these terms. This includes, but is not limited to, reviewing online activity, email correspondence, and other communication methods used by students.
6. Acknowledgment and Agreement:
By accessing any Confidential Information, students acknowledge that they have read, understood, and agreed to these terms and conditions. Students further acknowledge that these terms are necessary to protect the integrity of the institution’s intellectual property and the academic environment.
7. No Waiver:
The institution’s failure to enforce any provision of these terms and conditions shall not be construed as a waiver of any right or remedy it may have, nor shall it affect the institution’s right to enforce any other provision of these terms and conditions.
8. Severability:
If any provision of these terms and conditions is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these terms and conditions unenforceable or invalid as a whole. Such provisions shall be changed and interpreted to accomplish the objectives of such provisions to the greatest extent possible under applicable law.
9. Governing Law:
These terms and conditions shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law principles. Any legal action or proceeding arising under these terms and conditions shall be brought exclusively in the courts located in Bangladesh.
10. Amendments:
The institution reserves the right to amend these terms and conditions at any time. Any such amendments will be communicated to students through official channels and shall take effect immediately upon communication.
By enrolling in and participating in this course, students agree to adhere strictly to these terms and conditions, understanding that any breach will result in immediate and significant consequences.
